1. Overview

VBCIndex is a data intelligence platform operated by AcquireNow LLC (“Company,” “we,” “us,” or “our”) that helps healthcare organizations explore, evaluate, and understand value-based care (VBC) models.

By accessing or using the platform, you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the platform.

2. Nature of the Service

VBCIndex provides:

  • Aggregated public and third-party data (e.g., CMS, benchmarks)
  • Analytical tools and structured reports
  • AI-assisted insights and summaries
  • User-configurable inputs and uploaded data analysis

Important: VBCIndex is an informational tool only. It does not provide medical, clinical, legal, or financial advice.

3. No Reliance / Disclaimer

All content, outputs, and insights are provided for general informational purposes only.

  • No guarantees are made regarding accuracy, completeness, or timeliness
  • Outputs may be generated using artificial intelligence and may contain errors or omissions
  • You are solely responsible for decisions made based on the platform

VBCIndex should not be used as a substitute for professional judgment or consultation.

4. User Accounts

To access certain features, you may be required to create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your credentials
  • Be responsible for all activity under your account

We reserve the right to suspend or terminate accounts for misuse or violation of these Terms.

5. User Data & Uploads

You may upload data (e.g., CSVs, reports, or other materials) to the platform. You retain ownership of your data. By uploading data, you grant us a limited, non-exclusive license to:

  • Process and analyze the data
  • Generate outputs and reports
  • Improve platform functionality (in aggregated, non-identifiable form)

You are responsible for ensuring you have the right to upload and use such data.

6. No PHI / HIPAA Disclaimer

VBCIndex is not designed to store or process Protected Health Information (PHI). You agree not to upload:

  • Individually identifiable health information
  • Any data subject to HIPAA or similar regulations

We are not a Business Associate under HIPAA and do not enter into Business Associate Agreements (BAAs).

7. Vendor Matching & Third-Party Content

The platform may surface vendors, tools, or third-party services.

  • We do not endorse or guarantee any vendor
  • We are not responsible for third-party performance, claims, or outcomes
  • Any engagement with third parties is at your own risk

8. Intellectual Property

All platform content, design, and functionality are owned by AcquireNow LLC, except for user-provided data. You may not:

  • Copy, reproduce, or distribute platform content
  • Reverse engineer or attempt to extract underlying models or data structures
  • Use the platform for competitive analysis or replication

9. Acceptable Use

You agree not to:

  • Misuse the platform or attempt unauthorized access
  • Upload unlawful or harmful content
  • Interfere with system integrity or performance

10. Limitation of Liability

To the maximum extent permitted by law:

  • The platform is provided “as is” without warranties of any kind
  • We are not liable for any indirect, incidental, or consequential damages
  • Our total liability will not exceed the amount paid by you (if any) for use of the platform

11. Indemnification

You agree to indemnify and hold harmless AcquireNow LLC from any claims arising from:

  • Your use of the platform
  • Your data uploads
  • Your violation of these Terms

12. Modifications

We may update these Terms at any time. Continued use of the platform constitutes acceptance of updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
